Vault Transfer Authorization Terms

These PSA Vault Peer-to-Peer Transfer Terms (these “Transfer Terms”) govern your use of the peer-to-peer transfer feature made available by Collectors Universe, Inc. d/b/a PSA (“PSA,” “we,” “us,” or “our”) for eligible items stored in the PSA Vault (the “Transfer Feature”).

These Transfer Terms supplement the PSA Vault Terms of Service, the Collectors User Agreement, and any other terms, policies, or instructions that apply to your PSA account or use of the PSA Vault. By initiating, accepting, receiving, or retaining a peer-to-peer transfer of an item through the Transfer Feature, you agree to these Transfer Terms.

If you do not agree to these Transfer Terms, do not initiate or accept a transfer through the Transfer Feature.

PLEASE READ THESE TRANSFER TERMS CAREFULLY. THE COLLECTORS USER AGREEMENT AND VAULT TERMS, WHICH ARE INCORPORATED INTO THESE TRANSFER TERMS, CONTAIN PROVISIONS GOVERNING HOW DISPUTES BETWEEN YOU AND PSA ARE RESOLVED, INCLUDING BINDING ARBITRATION, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. BY USING THE TRANSFER FEATURE, YOU AGREE TO THOSE PROVISIONS.

1. Definitions

“Collectors User Agreement” means the Collectors User Agreement available at https://app.collectors.com/collectorsuseragreement, as updated from time to time.

“Item” means a collectible item stored in the PSA Vault and eligible for transfer through the Transfer Feature.

“PSA Indemnified Parties” has the meaning given in Section 19.

“Transfer” means an update to PSA’s internal custody, account, and recordkeeping systems to reflect that an Item is associated with the Transferee’s PSA Vault account instead of the Transferor’s PSA Vault account.

“Transferor” means the PSA Vault user who initiates a Transfer.

“Transferee” means the PSA Vault user who accepts, receives, or retains an Item through a Transfer.

“Underlying Transaction” means any sale, trade, gift, exchange, financing arrangement, settlement, or other transaction or arrangement (if any) between the Transferor and Transferee relating to an Item. The Transfer Feature may be used where there is no Underlying Transaction, and your representations and obligations under these Transfer Terms apply regardless of whether any Underlying Transaction exists.

“Vault Terms” means the PSA Vault Terms of Service available at https://www.collectors.com/vault-terms, as updated from time to time.

2. Relationship to Vault Terms

All Items transferred through the Transfer Feature remain subject to the Vault Terms. The Transfer Feature is part of the PSA Vault Services (as defined in the Vault Terms).

To the extent these Transfer Terms conflict with the Vault Terms or the Collectors User Agreement solely with respect to a Transfer, these Transfer Terms will control for that Transfer. For all other matters, the Vault Terms and Collectors User Agreement continue to apply.

3. What the Transfer Feature Does

The Transfer Feature allows an eligible Transferor to request that PSA update its internal records so that an eligible Item stored in the PSA Vault is reflected in the Transferee’s PSA Vault account.

A Transfer does not require physical withdrawal or shipment of the Item. The Item remains in PSA’s custody unless and until the then-current account holder requests withdrawal in accordance with the Vault Terms.

PSA’s role is limited to providing custody, account, and recordkeeping services. PSA is not a party to any Underlying Transaction between the Transferor and Transferee.

4. PSA Is Not Involved in Your Underlying Transaction

You acknowledge and agree that PSA:

(a) is not a party to, and has no responsibility for, any Underlying Transaction;

(b) does not act as a broker, dealer, marketplace operator, payment processor, money transmitter, escrow agent, agent, fiduciary, financial advisor, tax advisor, legal advisor, or other advisor to either the Transferor or Transferee in connection with any Transfer;

(c) does not collect, hold, transmit, verify, or guarantee payment or other consideration between the Transferor and Transferee;

(d) does not verify or guarantee the fairness, adequacy, validity, legality, or enforceability of any Underlying Transaction;

(e) does not verify or guarantee legal title, ownership, authenticity, condition, grade, value, marketability, or tax treatment of any Item in connection with a Transfer; and

(f) has no responsibility for any dispute between the Transferor and Transferee or any third party relating to payment, nonpayment, value, ownership, authority, fraud, mistake, condition, authenticity, tax treatment, or any other aspect of the Underlying Transaction.

5. Eligibility

PSA may make the Transfer Feature available only to certain users, accounts, Items, jurisdictions, or transaction types.

To use the Transfer Feature, you must have an active PSA account in good standing and satisfy any identity verification, sanctions screening, fraud review, security, compliance, or other requirements that PSA may apply.

PSA may decline, suspend, limit, or revoke access to the Transfer Feature at any time in its sole discretion.

PSA will make the Transfer Feature available only to senders and recipients who hold an active PSA account that is subject to the Collectors User Agreement. PSA will not create a new account on a recipient's behalf in order to complete a Transfer.

6. Transfer Process

To initiate a Transfer, the Transferor must follow the instructions presented by PSA, which may include:

(a) selecting the Item or Items to be transferred;

(b) entering and confirming the Transferee’s email address or other required recipient identifier;

(c) confirming the Transfer details;

(d) completing multi-factor authentication or other security steps;

(e) accepting these Transfer Terms; and

(f) providing any other information or confirmation requested by PSA.

To accept a Transfer, the Transferee must follow the instructions presented by PSA, which may include signing into or creating a PSA account, confirming the Item or Items to be received, accepting these Transfer Terms, and agreeing to the Vault Terms.

A Transfer is effective only when PSA updates its internal records to reflect the Item in the Transferee’s PSA Vault account. PSA has no obligation to complete any Transfer unless and until PSA determines that all applicable requirements have been satisfied.

7. Irrevocability

Once PSA completes a Transfer, the Transfer is final and cannot be canceled, recalled, or reversed by the Transferor or Transferee through the Transfer Feature, except as expressly stated herein and except that PSA may delay, hold, decline, reverse, unwind, or adjust a Transfer as described herein. Nothing in this Section 7 limits PSA’s rights under Section 15 or creates any reliance interest in the finality of a Transfer.

PSA does not provide a mandatory waiting period, cancellation period, or recall period for the Transferor after a Transfer is completed in accordance with the terms herein.

The Transferor understands that, upon completion of a Transfer, the Transferor will lose the ability to access, withdraw, list, sell, transfer, or otherwise control the Item through the Transferor’s PSA Vault account.

The Transferee understands that, upon completion of a Transfer, the Item will be stored for the Transferee under the Vault Terms, and the Transferee will be responsible for the Item as the account holder reflected in PSA’s records.

8. Transferor Representations

By initiating a Transfer, the Transferor represents and warrants to PSA and the Transferee that:

(a) the Transferor is the lawful owner of the Item or is legally authorized by the lawful owner to transfer the Item;

(b) the Transferor has full right, power, and authority to transfer all rights and interests in the Item that are reflected in PSA’s records;

(c) the Item is free and clear of all liens, security interests, pledges, adverse claims, encumbrances, restrictions, consignment rights, financing arrangements, options, and other third-party claims, other than (i) any rights of PSA arising solely under the Vault Terms or Collectors User Agreement, including any generally applicable lien, security interest, or other right for unpaid amounts, and (ii) any security interest in favor of Collectors Financial Services or its lending partners that has been disclosed to and approved by PSA in connection with the Transfer;

(d) the Transfer will not violate any law, regulation, court order, contract, marketplace or platform rule, or obligation binding on the Transferor or the Item;

(e) the Transferor has entered the correct Transferee information and intends to transfer the Item to the Transferee identified in the Transfer flow;

(f) all information provided by the Transferor in connection with the Transfer is true, complete, accurate, and not misleading;

(g) the Transferor is not using the Transfer Feature for fraud, money laundering, sanctions evasion, market manipulation, unlawful gambling, tax evasion, or any other unlawful purpose and the Underlying Transaction does not violate any applicable law;

(h) the Transferor has obtained all consents required from any co-owner, joint holder, spouse, or other person holding an interest in the Item, including any consent required under community property or marital property law, and Transferor has undertaken reasonable efforts to confirm that the Transferee is 18 years old or older; and

(i) the Transferor is solely responsible for all payment, tax, reporting, and legal obligations arising from the Transferor’s Underlying Transaction.

The Transferor will promptly notify PSA if the Transferor believes a Transfer was initiated in error, to the wrong recipient, or without authorization, and acknowledges that PSA may, but is not obligated to, delay or reverse the Transfer under Section 15.

9. Transferee Acknowledgments and Representations

By accepting, receiving, or retaining an Item through the Transfer Feature, the Transferee acknowledges, represents, and agrees that:

(a) the Transferee accepts the Item and agrees to hold the Item in the PSA Vault under the Vault Terms;

(b) the Transferee has independently evaluated the Item and the Underlying Transaction, including authenticity, condition, grade, value, title, consideration, taxes, and commercial terms;

(c) the Transferee is not relying on PSA to verify, review, advise on, or provide assurances about the Item or the Underlying Transaction;

(d) the Transferee is solely responsible for all taxes, use taxes, reporting obligations, filings, fees, costs, duties, tariffs, and other obligations associated with receiving, holding, transferring, selling, or withdrawing the Item;

(e) the Transferee has full right, power, and authority to accept the Transfer and agree to these Transfer Terms;

(f) all information provided by the Transferee in connection with the Transfer is true, complete, accurate, and not misleading;

(g) the Transferee is not accepting the Transfer for fraud, money laundering, sanctions evasion, market manipulation, unlawful gambling, tax evasion, or any other unlawful purpose, and the acceptance of the Transfer and the Underlying Transaction each do not violate any applicable law; 

(h) the Transferee is 18 years old or older; and

(i) if the Transferee believes the Item was transferred by mistake or without authorization, the Transferee will promptly notify PSA and will not withdraw, transfer, list, sell, pledge, encumber, or otherwise dispose of the Item unless and until PSA authorizes further action.

10. Sanctions Compliance

Each Transferor and Transferee represents and warrants that it is not (a) identified on any U.S. or other applicable sanctions list, including the U.S. Department of the Treasury’s Office of Foreign Assets Control Specially Designated Nationals and Blocked Persons List, (b) located in or organized under the laws of any country or territory subject to comprehensive U.S. sanctions, or (c) acting for or on behalf of any such person or entity. You may not use the Transfer Feature in violation of any applicable sanctions, anti-money-laundering, or export control law.

11. Transferee Acceptance by Notice; Right to Decline

PSA may present these Transfer Terms and the Vault Terms to the Transferee by electronic notice, including an email containing conspicuous links to these Transfer Terms and the Vault Terms. By accepting a Transfer, or by retaining an Item following such notice without declining it within the period described below, the Transferee agrees to these Transfer Terms and the Vault Terms with respect to the Item. The Transferee may decline a Transfer by notifying PSA through the Transfer Feature or at [email protected] within 14 days after PSA sends such notice. If the Transferee timely declines, PSA may reverse the Transfer and return the Item to the Transferor's account or, at the Transferee's request, release the Item for withdrawal, and in either case PSA will not charge the Transferee a withdrawal fee for the declined Item. If the Transferee does not timely decline and retains the Item, the Transferee is deemed to have accepted these Transfer Terms and the Vault Terms with respect to the Item.

12. Account Security and Recipient Information

You are responsible for maintaining the security of your PSA account, email account, passwords, devices, multi-factor authentication methods, and login credentials.

The Transferor is solely responsible for entering the correct Transferee email address or recipient identifier. PSA may rely on the information entered by the Transferor and has no obligation to determine whether the Transferor intended to identify a different recipient.

The Transferee is responsible for confirming that any account used to accept or receive a Transfer is controlled by the Transferee.

13. Taxes

PSA has no responsibility to determine, collect, report, or remit any taxes arising from any Underlying Transaction or Transfer, except to the extent expressly required by applicable law.

Each Transferor and Transferee is solely responsible for all tax consequences, tax advice, reporting obligations, filings, sales tax, use tax, income tax, duties, tariffs, and other governmental charges associated with any Underlying Transaction, Transfer, storage, sale, withdrawal, or other disposition of an Item.

You agree to indemnify, defend, and hold harmless PSA and the PSA Indemnified Parties from and against any taxes, penalties, interest, claims, costs, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of or relating to taxes associated with any Underlying Transaction or Transfer.

14. Fees

PSA may charge, waive, modify, or introduce fees for the Transfer Feature or related PSA Vault Services at any time, subject to applicable law and any disclosures made in the applicable user flow or posted terms.

Unless PSA states otherwise, any future withdrawal, shipment, storage, handling, insurance, administrative, service, or other fees associated with an Item after completion of a Transfer will be the responsibility of the Transferee as the account holder reflected in PSA’s records.

Upon completion of a Transfer, the Item’s Vault storage date will reset for purposes of calculating storage, withdrawal, and other time-based fees. Any storage period applicable to the Transferor will not carry over to the Transferee unless PSA expressly states otherwise in the applicable Transfer flow. The Transferee will be responsible for all such fees as the account holder reflected in PSA’s records.

15. PSA Rights to Review, Delay, Hold, Decline, or Reverse

PSA may, in its sole discretion and without liability, take any of the following actions before or after a Transfer:

(a) verify the identity, age, account status, authority, or eligibility of any Transferor or Transferee, including through identity verification, age verification, sanctions, or know-your-customer (KYC) checks;

(b) request additional information, documentation, confirmations, or security steps;

(c) conduct fraud, sanctions, AML, compliance, security, or risk reviews;

(d) delay, pause, or decline any Transfer;

(e) place a hold on any Item, account, withdrawal, sale, listing, offer, transfer, or other transaction;

(f) reverse, unwind, cancel, or adjust a Transfer in PSA’s internal records;

(g) restrict or terminate access to the Transfer Feature or PSA Vault Services; or

(h) take any other protective, remedial, compliance, or risk-management action PSA determines appropriate.

PSA may take any of these actions if PSA believes, suspects, or determines that there may be fraud, mistake, unauthorized activity, identity theft, account compromise, inaccurate information, ownership dispute, adverse claim, lien, sanctions concern, AML concern, legal or regulatory issue, security issue, violation of these Transfer Terms, violation of the Vault Terms, violation of the Collectors User Agreement, or risk to PSA, its affiliates, its users, or any Item, or if any Transferor or Transferee fails or declines to complete, or does not pass to PSA's satisfaction, any identity, age, KYC, sanctions, or eligibility verification PSA requests, or fails to provide information PSA requests.

PSA has no obligation to reverse or unwind a Transfer based solely on buyer’s remorse, nonpayment, changed deal terms, dissatisfaction with the Item, a private dispute, or an alleged breach of the Underlying Transaction.

16. Records, Audit Logs, and Communications

You authorize PSA to create, maintain, use, and rely on records relating to any Transfer, including Item information, account information, email addresses, IP addresses, device information, browser information, app information, session information, authentication method, timestamps, confirmations, user selections, transfer metadata, and related system logs.

PSA may use these records for account administration, custody records, fraud prevention, dispute review, compliance, security, audits, legal process, insurance, enforcement of these Transfer Terms, and protection of PSA’s rights.

PSA may send Transfer-related communications to the email address, account, mobile number, or other contact method associated with your PSA account.

17. Privacy

PSA will process personal information in accordance with the Collectors Privacy Notice available at https://app.collectors.com/privacypolicy and applicable privacy laws. You acknowledge that PSA may use and disclose information relating to Transfers as necessary or appropriate for account administration, fraud review, security, compliance, legal process, dispute handling, tax, audit, insurance, and enforcement purposes.

18. Disputes Between Users

Any dispute between the Transferor and Transferee relating to an Underlying Transaction or Transfer is solely between the Transferor and Transferee.

PSA has no obligation to investigate, mediate, adjudicate, or resolve disputes between users or between any user and a third party.

If PSA receives a dispute notice, subpoena, court order, law enforcement request, regulatory inquiry, or other claim relating to an Item or Transfer, PSA may take any action it determines appropriate, including holding the Item, restricting account activity, declining withdrawal, or requiring further documentation.

19. Indemnification

Each Transferor and Transferee agrees to indemnify, defend, and hold harmless PSA, its affiliates, and each of their respective officers, directors, employees, contractors, agents, representatives, successors, and assigns (the “PSA Indemnified Parties”) from and against all claims, demands, actions, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

(a) any Transfer or attempted Transfer;

(b) any Underlying Transaction;

(c) PSA’s reliance on instructions, confirmations, account activity, information, or documentation provided or purportedly provided by you or through your account;

(d) your breach of these Transfer Terms, the Vault Terms, the Collectors User Agreement, or any applicable policy;

(e) your breach of any representation, warranty, covenant, or obligation;

(f) any ownership, title, lien, encumbrance, adverse claim, payment, nonpayment, refund, chargeback, consideration, authenticity, condition, grade, valuation, authority, fraud, mistake, or tax dispute relating to an Item or Underlying Transaction;

(g) any subpoena, court order, governmental inquiry, law enforcement request, regulatory inquiry, tax claim, or third-party claim relating to you, the Item, the Underlying Transaction, or the Transfer; or

(h) your violation of any law, regulation, third-party right, or contractual obligation.

PSA may control the defense and settlement of any claim subject to indemnification. You may not settle any claim in a manner that admits liability or imposes any obligation on any PSA Indemnified Party without PSA’s prior written consent.

20. Disclaimers

To the maximum extent permitted by applicable law, the Transfer Feature and all Transfer-related services are provided “as is” and “as available.”

PSA disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of title, merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

PSA does not warrant or guarantee that:

(a) any Transfer will be completed on any particular timeline;

(b) any Transfer will be free from delay, hold, error, reversal, or dispute;

(c) PSA will detect or prevent fraud, mistake, unauthorized activity, account compromise, or incorrect recipient information;

(d) any Item is authentic, correctly graded, correctly described, free of claims, free of liens, merchantable, or fit for any purpose; or

(e) any Underlying Transaction will be valid, enforceable, completed, paid, refunded, reversed, or resolved.

21. Limitation of Liability

To the maximum extent permitted by applicable law, PSA’s aggregate liability arising out of or relating to the Transfer Feature, any Transfer, any attempted Transfer, any Underlying Transaction, any delay, hold, decline, reversal, or adjustment, or PSA’s reliance on instructions or account activity it reasonably believes to be authorized, will not exceed US $1,000.

The foregoing cap does not modify PSA’s responsibility, if any, for physical loss of or physical damage to an Item while in PSA’s custody, which will be governed by the Vault Terms.

To the maximum extent permitted by applicable law, PSA will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost opportunity, loss of value, loss of market movement, loss of goodwill, loss of data, business interruption, replacement costs, sentimental value, intrinsic value, or damages arising from payment disputes, tax treatment, account compromise, or user error.

These limitations apply regardless of the theory of liability, including contract, tort, negligence, strict liability, statute, or otherwise.

22. Legal Process and Reimbursement

If PSA receives a subpoena, court order, governmental inquiry, law enforcement request, regulatory inquiry, tax inquiry, or other legal process relating to you, an Item, an Underlying Transaction, or a Transfer, you agree to reimburse PSA for reasonable costs and expenses, including reasonable attorneys’ fees, incurred in responding to or complying with that process, except to the extent arising primarily from PSA’s bad faith or willful misconduct.

23. Changes to the Transfer Feature

PSA may modify, suspend, discontinue, or limit the Transfer Feature at any time. PSA may also change eligibility criteria, transfer limits, security requirements, verification requirements, fees, warnings, recipient-identification methods, and other aspects of the Transfer Feature.

24. Electronic Agreement

You agree that clicking, tapping, checking a box, completing multi-factor authentication, selecting “Transfer,” selecting “Accept,” or otherwise using the Transfer Feature may create a legally binding agreement and may be used by PSA as evidence of your authorization, consent, and acceptance.

25. Dispute Resolution; Arbitration; Class Action Waiver

The dispute resolution, arbitration, class action waiver, jury trial waiver, governing law, and forum provisions in the Collectors User Agreement and Vault Terms are incorporated into these Transfer Terms and apply to any dispute between you and PSA arising out of or relating to these Transfer Terms, the Transfer Feature, any Transfer, any attempted Transfer, any Item, or your use of the PSA Vault Services in connection with a Transfer.

By agreeing to these Transfer Terms, you acknowledge that disputes with PSA will be resolved through binding arbitration on an individual basis, and that you waive any right to bring or participate in a class action or to a trial by jury, except as otherwise provided in the Collectors User Agreement and Vault Terms.

26. Miscellaneous

These Transfer Terms, together with the Vault Terms, Collectors User Agreement, and any other applicable terms incorporated by reference, are the entire agreement between you and PSA with respect to the Transfer Feature.

If any provision of these Transfer Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

PSA’s failure to enforce any provision of these Transfer Terms will not waive PSA’s right to enforce that provision later.
